LawNeeds – Terms and Conditions for HR/Legal (SME)
Effective Date: 1st June, 2025.
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“You”, “Organisation”, “Company”, “User”) and LawNeeds Ltd. (“LawNeeds”, “We”, “Us”, “Our”) concerning your access to and use of the LawNeeds mobile application (“Application”) in your capacity as a professional entity using the platform for internal HR and legal support purposes.
By registering and using the Application, you agree to be bound by these Terms. If you do not agree, please do not use LawNeeds.
1. Eligibility and Business Registration
• You must be an authorised representative of a UK-registered small or medium-sized enterprise (SME), using LawNeeds for internal HR or legal department support.
• You warrant that all company and account information provided during registration is accurate, current, and complete, and that this information will be updated as necessary.
• We reserve the right to verify your organisation’s credentials and may approve, suspend, or terminate access based on compliance and internal policy considerations.
2. Permitted Use of the Application
The Application may be used solely for internal organisational support purposes, including access to legal research, document drafting, template generation, and regulatory guidance.
You may not use the Application to:
• Provide legal services to third parties,
• Facilitate legal advice for external clients,
• Circumvent the use restrictions or licence terms outlined herein.
3. Internal Use and Conduct
• You agree to ensure the Application is used only by authorised personnel for internal professional tasks aligned with your organisation’s HR or legal operational needs.
• You may not resell, redistribute, or disclose outputs generated via LawNeeds outside your organisation.
• You are responsible for ensuring that use of any legal outputs from the Application is consistent with applicable laws and internal HR policies.
4. Confidentiality and Data Protection
• You are responsible for ensuring all employee, contractor, and internal company data handled within the Application is treated in accordance with the UK GDPR and Data Protection Act 2018.
• All files uploaded or processed within the Application are confidential and shall not be used for unauthorised or unlawful purposes.
• You agree to implement reasonable measures to protect login credentials and any data retrieved via the platform.
5. Account Security
• You are responsible for maintaining the confidentiality of your account credentials and limiting access to authorised employees only.
• Notify LawNeeds immediately upon discovering any breach of account security or unauthorised use.
6. Platform Capabilities and Limitations
• LawNeeds provides automated tools to support HR and legal workflows, but does not replace professional legal counsel.
• Outputs, including AI-generated legal guidance, legal research or drafts, are provided for informational and operational support only and should still be reviewed by a qualified in-house or external legal professional before implementation.
7. Anti-Money Laundering (AML)
• LawNeeds does not provide legal advice or process transactions. You agree not to use LawNeeds to facilitate or conceal unlawful activity. We reserve the right to audit platform usage and restrict access where misuse is suspected.
8. Fees and Payment Terms
• Your access to certain features of the Application may be subject to subscription fees or per-use charges. Specific pricing and billing cycles will be communicated via the Application or account dashboard.
• Failure to settle payments in accordance with agreed terms may result in limited access or account suspension.
9. Intellectual Property
• All Application code, content, and interface designs are owned by LawNeeds Ltd. and protected under applicable UK intellectual property laws.
• You retain ownership of uploaded documents and internally generated content, but grant LawNeeds a non-exclusive licence to process such content for functional purposes.
10. Termination
• LawNeeds reserves the right to terminate or suspend your access at its sole discretion for breach of these Terms, unauthorised use, or non-payment.
• You may close your account by written notice. Termination does not relieve you of outstanding payment obligations.
11. Limitation of Liability
To the fullest extent permitted by law, LawNeeds disclaims liability for:
• Any errors or delays in output caused by automation limitations,
• Indirect or incidental damages arising from use of the platform,
• Misuse or misinterpretation of any AI-generated material.
12. Amendments
• LawNeeds may revise these Terms from time to time. Material updates will be communicated at least 30 days prior to taking effect.
• Continued use of the Application after the effective date of revisions will constitute your acceptance.
13. Governing Law
• These Terms shall be governed and construed in accordance with the laws of England and Wales.
